General Terms and Conditions (GTC)

 

1. Scope of application

sustainCHAIN is operated by innoratio AG (hereinafter known as "innoratio"), with registered office in Thalwil, Switzerland. These Terms and Conditions (hereinafter known as "GTC") apply to all the services provided by innoratio. innoratio exclusively offers services to legal entities such as companies, organizations and institutions. Any legal entity may be termed as client, who maintains business relationship with innoratio. The current and binding version of these Terms and Conditions (GTC) is published at www.sustainchain.net.

 

2. Information on services

The information on rendered services are compiled in a clear and client-friendly layout by innoratio.

 

2.1 Disclaimer

innoratio is not responsible for the correctness of content, accuracy, timeliness, reliability or completeness of information.

Liability claims against innoratio arising from material or immaterial damages, from access to or use and non-use of published information, through misuse of the connection or technical faults are excluded.

All offers are non-binding. innoratio expressly reserves the right to change parts or the entire offer without separate notification for change, and may add, delete or regulate the publication temporarily or permanently.

 

2.2 Liability for Links

References and links to third party websites are beyond the scope of our responsibility. There is no responsibility assumed for such websites. The access and use of such websites is done completely at the users own risk.

 

2.3 Intellectual Property Rights

The intellectual property rights and all other rights to contents, images, photos or other files on the website exclusively belong to innoratio or specifically mentioned right holders. For reproduction of any element, the written consent of the copyright holder must be sought in advance.

 

3. Services rendered

innoratio provides services in the fields of software development, sustainability software, web design, corporate reporting and management consulting.

 

4. Price, Value Added Tax

4.1 Price

The charges, hourly rates and surcharges for services published at sustainchain.net apply at the time when order is placed. Any deviating provisions may be agreed in writing between the Client and innoratio.

 

4.2 Value Added Tax

 

Unless otherwise specified, all prices are applicable, exclusive of VAT. The client is responsible to pay the value added tax applicable at his location. innoratio assumes no responsibility for it.

 

5. Contract conclusion

5.1 Online Shop

The client places the order online through shopping cart. The contract is concluded when innoratio sends an order confirmation to the client via Email. While placing an order, the client confirms that he has read and accepted these GTC.

 

5.2 Service contract

D The clients order is executed by a service contract, which has been agreed by the client and innoratio. The contract is concluded with the mutual, legally valid signature.

 

6. Payment conditions

The customer is obliged to pay through the provided payment options. innoratio reserves the right to debar a client from certain payment options without giving reasons.

innoratio provides following payment options: Credit cards (up to EUR 500,- / CHF 600,- / USD 600,-), PayPal (up to EUR 500.- / CHF 600.- / USD 600.-) and payment per invoice.

 

6.1 Invoice

After successful verification of the "purchasing eligibility" corporate clients, organizations and public institutions can pay for services by invoice. For orders with a value of more than CHF 600 / USD 600.- / EUR 500, we only accept payments by invoice.

Unless otherwise agreed, 50% of the invoice amount is payable as partial payment before the execution of contract. The remaining 50% is due upon completion of service.

The customer agrees to pay within 10 days or until the agreed payment date. Payments not made on schedule are reminded by innoratio. innoratio may charge reminder fees amounting to CHF 20 for each reminder. In addition, interest may be charged at market rates from 30th day after the due date.

 

 

6.2 Credit card

For orders up to the value of CHF 600.- / USD 600.- / EUR 500.- at Online Shop, we accept MasterCard, VISA and American Express. The payment fees shall be paid by innoratio. In case of cancellation, the whole amount will be refunded as credit. For online payment, the credit card will be charged even if the ordered product is not available.

 

6.3 PayPal

For orders up to the value of CHF 600.- / USD 600.- / EUR 500.- at Online Shop, we accept PayPal payments. The payment fees shall be paid by innoratio.In case of cancellation, the whole amount will be refunded as credit. For online payment, PayPalwill be charged even if the ordered product is not available.

7. Delivery conditions, transferring rendered service

Unless otherwise specified, the services ordered are sent by E-mail or file download to the client. Delivery costs are not calculated- unless otherwise specified.

 

8. Data privacy

8.1 All data as well as information from the client's business will be kept confidential and neither sold nor passed on to third parties. However, innoratio is entitled to keep a record of each service provided in an archive copy as a proof of executed work.

 

8.2 The transfer of data and texts between the client and innoratio is done at the risk of client.

 

8.3 We strive to protect the databases as well as possible against unauthorized access, loss, misuse or falsification in close collaboration with our Hosting providers.

The following data is stored in log files when you access our websites: IP address, date, time, browser request and generally transmitted information to the operating system, resp. browser. This usage data forms the basis for statistical, anonymous evaluations, so that trends can be identified by which we can improve our services.

 

9. Right of withdrawal

9.1 Right of withdrawal

You have the right to cancel the contract within fourteen days without giving any reason.

The revocation period is fourteen days from the date of contract.

In order to exercise your right of withdrawal, you must contact us (innoratio AG, Gotthardstrasse 20, CH-8800 Thalwil, Switzerland; Telephone +41 43 377 96 31; Telefax +41 43 377 96 32; info@innoratio.com) with a clear statement (such as by a letter sent by post, fax or email) of your decision to withdraw from the contract. You may use the attached sample withdrawal form which is however not mandatory.

In order to maintain the revocation period, you may simply send a message on your execution of withdrawal right before the expiration of the revocation period.

 

9.2 After revocation

If you withdraw from the contract, we will repay you all the payments received by us from you, including delivery costs (with the exception of additional costs arising from the fact that you have chosen a type of delivery other than the cheapest standard delivery offered by us), at the latest within fourteen days from the date on which we receive your notification about revocation of the contract with us. For this repayment, we will use the same method of payment that you used in the original transaction, unless explicitly agreed otherwise; you will not be charged fees for such repayment.

If you had requested that the services be commenced during the withdrawal period, then you must pay us an appropriate amount which corresponds to the proportion of services completed till the date on which you notify us about the revocation of the contract in relation to the to the total amount planned in the service contract.

 

10. Final provisions

Client’s provisions contradicting or deviating from these GTC (General Terms and Conditions) are not recognized, unless innoratio has expressly agreed to their validity in writing. In case of disputes that cannot be resolved by agreement, the jurisdiction is Thalwil, where the registered office of innoratio is situated. Swiss law is applicable.
